About the role

We are seeking a proactive and detailed-oriented Corporate Governance Officer with 2-3 years post- call experience to join our team. The successful candidate will support the Company’s corporate governance team, ensuring compliance with regulatory requirements, internal policies, and industry best practices. This role requires a deep understanding of CAMA, the financial industry and the laws and regulations that governs it.
 

About the role
We are seeking a proactive and detailed-oriented Corporate Governance Officer with 2-3 years post- call experience to join our team. The successful candidate will support the Company’s corporate governance team, ensuring compliance with regulatory requirements, internal policies, and industry best practices. This role requires a deep understanding of CAMA, the financial industry and the laws and regulations that governs it.

Primary Responsibilities
  • Assist in organizing and coordinating board and committee meetings, including preparing agendas and collating board packs.
  • Draft and review board resolutions, minutes of meetings and other corporate governance documents.
  • Ensure compliance with corporate governance laws, including CAMA 2020, and manage regulatory filings with CAC.
  • Maintain and update corporate governance policies in line with regulatory requirements and industry best practices.
  • Ensure timely submission of regulatory filings and assist in regulatory audits.
  • Develop internal compliance processes to mitigate legal and operational risks.
  • Provide legal advice, guidance and recommendations to the Company on various corporate governance and regulatory matters.
  • Maintain accurate corporate records, agreements, and governance documents.
Qualifications
  • Bachelor’s degree in Law from an accredited institution.
  • A member of the Nigeria Bar Association.
  • 2-3 years of relevant legal experience in corporate governance and compliance.
  • Sound knowledge of corporate, commercial and financial laws.
  • Legal drafting and report writing skills.
  • Sound understanding and knowledge of Nigeria Corporate Laws, including company incorporation, share capital, share transfers, acquisitions, winding up, e.t.c.
  • Strong negotiation and communication skills, both verbal and written.
  • Detail-oriented with a strategic approach to risk assessment and management.
  • Ability to work independently and manage multiple tasks.
  • Proficiency in legal research and Microsoft Office Suite.
